This Agreement outlines the Terms and Conditions (“T&Cs”) that govern your participation in any virtual event, workshop, meeting, session, masterclass, show, seminar, or conference (“Virtual Event”), as well as the delivery of B2B SaaS marketing strategy services, including content marketing, demand generation, and sales enablement, provided by Fresh Demand (“FD” or “Owner and Organizer”). By registering for any Virtual Event or engaging with our services, you, the registered participant (“Participant(s)/ Company”), agree to be bound by these T&Cs, forming a legally binding agreement between FD and Company.

1. Participant Requirements

1.1 Eligibility Criteria: Our license to conduct this workshop is predicated on specific eligibility criteria. Individuals must be 18 or older to be eligible to participate in the live workshop training. Participants should be business professionals, including entrepreneurs, employees, self-employed individuals, and team members. Participants have the autonomy to attend the training independently, without the necessity for employer approval.

1.2 Access: Registration solely entitles access to the specified Virtual Event. Participants bear responsibility for meeting the technical requirements and covering all associated costs, with FD disclaiming any liability for such costs.

1.3 Use of Likeness: Participation in the Virtual Event grants FD the rights to record, film, photograph, or capture participants’ likeness in any media and to utilize such recordings globally, in perpetuity, without the need for further approval or compensation.

1.4 Content Changes: FD retains the right to modify any elements of the Virtual Event, including but not limited to themes, content, speakers, performers, hosts, moderators, venue, and time.

1.5 Account Security: Participants are wholly responsible for safeguarding the confidentiality of their login credentials. Any unauthorized access or use must be promptly reported to FD.

2. Prohibited Conduct

2.1 Unauthorized Sharing: Your access link/code is exclusive and should not be sold, traded, transferred, or shared without explicit permission from FD. Violations may result in cancellation of access, retention of payments, reporting to law enforcement, and bans from future events.

2.2 Disruption and Compliance: FD reserves the right to remove any participant deemed disruptive or found engaging in non-compliant or unethical business practices.

2.2.a Verbal Abuse: Using offensive, abusive, or derogatory language towards other participants, speakers, or FD staff.

2.2.b Spamming: Flooding the chat or Q&A sections with irrelevant or promotional content.

2.2.c Unauthorized Solicitation: Using the event as a platform to promote goods or services without FD’s permission.

2.2.d Intellectual Property Theft: Copying, distributing, or sharing content or materials from the event without authorization.

2.2.e Privacy Violations: Sharing other participants’ personal information without consent.

2.2.f Non-Compliance with Event Rules: Ignoring or breaking any rules or guidelines set by FD for participation in the Virtual Event.

Participants engaging in such behavior may be removed immediately, forfeit any fees paid, and prohibited from attending future events.

2.3 Zero Tolerance Policy: FD strictly prohibits harassment or discrimination based on race, color, religion, gender, national origin, or other protected characteristics. Violators may face permanent bans from current and future events.

3. Fees and Registration

3.1 Payment & Taxes: All fees are due before registration and may be subject to additional taxes. Fees are non-refundable, except under circumstances determined by FD, such as the event cancellation by FD.

3.2 Early Bird Pricing: Participants who register for the Virtual Event more than two weeks before the first day of the workshop qualify for Early Bird Pricing. Early Bird registration ends at 11:59 pm ET, two weeks before the first day of the workshop.

3.3 Regular Pricing: Registrations made less than two weeks before the first day of the workshop will be charged at the Regular Price.

3.4 Price Confirmation: The applicable pricing tier will be confirmed during registration and payment.

3.5 Late Fees and Discounts: Participants registering within 48 hours of the workshop’s start date (for the Continental United States) or less than two weeks prior (International) acknowledge that FD will send them a workbook and journal at the earliest convenience, with expedited shipping fees applied at FD’s discretion. Any applicable discounts or coupons must be used at the time of registration.

3.6 Changes to Registration: Any changes to registration details after completing the registration process may be subject to additional fees at FD’s discretion.

3.7 Invoicing and Receipts: Invoices and receipts will be provided electronically upon completing the registration and payment process.

4. Cancellation and Quality Assurance

4.1 Refunds & Force Majeure: Refunds will not be issued for participant cancellations. However, participants can transfer their registration to another workshop within 12 months of the original workshop date, provided it is for the same participant. FD reserves the right to approve or deny transfer requests. In the case of Force Majeure, FD is not obligated to issue refunds but may opt to reschedule the affected Virtual Event. Participants are encouraged to contact FD for any registration transfer inquiries.

4.2 Quality Assurance: FD employs rigorous measures to ensure a high-quality experience for all participants. Quality concerns can be addressed by emailing Jennifer.James@freshdemandco.com.

5. Registration Confirmation

5.1 Communication and Confirmation Process: Upon successful registration, participants will receive a confirmation email containing essential information, such as login details and further instructions for the event. Participants will also be added to our mailing list to receive timely notifications and updates leading up to the event, including any pre-workshop materials, surveys, agenda updates, and logistical information. Participants can expect real-time communications on the event day to ensure a smooth experience. Following the workshop, communications will continue with details on any follow-up coaching or additional services as outlined during the registration process and requests for feedback to enhance future events. Participants can opt out of these communications at any time, with clear instructions in each communication.

6. Privacy & Personal Data Protection

6.1 Privacy Commitment: We prioritize your privacy at FD. Regularly updated, this section outlines how we handle your Personal Data. Please review it frequently and contact jennifer.james@freshdemandco.com for any inquiries.

6.2 Collection of Personal Data: We may collect and process various types of Personal Data, which include but are not limited to:

6.2a Directly Provided Data: This includes information that you willingly provide, such as contact information, payment details, and participation in discussion forums either on our Site or through third-party platforms, such as Telegram or Zoom.

6.2b Automatically Collected Data: We collect data automatically during your visit to our registration platform and interaction with our services. This data includes but is not limited to,  IP Address: To identify the location of your accessing device for security purposes and regional content adaptation. Browser Type & Version, Operating System, Device Information: Optimize your user experience across various devices and operating systems. Geolocation Data: For content personalization and statistical purposes.Referring Website, Pages Visited, Interaction Data, Clickstream Data, Search Queries: To understand user behavior, improve our platform, and personalize content and advertisements. Date, Time, & Session Duration: For system administration and to report aggregate information to our advertisers. Cookies & Pixel Tags: To enhance user experience and for targeted advertising. This information is used to maintain the quality of our service, improve user engagement, ensure the security of our platform, and comply with any legal obligations. Participants are encouraged to review our privacy policy for more details on data collection, usage, and their rights regarding their data. In addition to the above, we believe in being transparent about our data practices and providing you with choices. We respect your privacy and are committed to protecting it.

6.2c Third-Party Data: FD may receive information from public databases or third-party services by applicable laws. These sources include public records, surveys, social media platforms, data aggregators, and other platforms that collect, sell, or share user information. FD utilizes third-party data to enhance audience understanding, tailor content and marketing strategies, improve user experience, and achieve operational and business objectives. Importantly, any use of third-party data by FD is subject to strict adherence to applicable data protection and privacy laws, ensuring that the data is collected, processed, and transferred legally and ethically, with necessary consents and permissions from the individuals involved.

6.2 Data Minimization: We adhere to the principle of data minimization, ensuring that we only collect necessary and relevant data for the purposes identified. We are committed to balancing your privacy and providing a seamless experience.

6.3 Use of Personal Data: By completing the payment and participating in the registration process, you give clear, informed, and unambiguous consent for FD to collect, process, and store your data by our privacy policies and applicable data protection laws.

6.3a Fulfilling Contractual Obligations: We utilize your Personal Data to fulfill our contractual obligations related to the delivery, support, and facilitation of Virtual Events, including those licensed from third parties.

6.3b Organizing and Facilitating Virtual Events: Your information helps in organizing, managing, and delivering a seamless and enriching experience during live Virtual Events, ensuring your interaction and engagement with the content and other participants.

6.3c Third-Party Licensors: To meet licensing requirements, ensure compliance, and facilitate the provision of the Virtual Event, we may share necessary Personal Data with third-party licensors from whom we license the program. This information could include participant names, contact details, and participation records. We maintain stringent measures to ensure third-party licensors adhere to robust data protection standards. The sharing of this data is limited to what is strictly necessary to fulfill licensing obligations and successfully deliver the event. Participants have the right to inquire about the specific nature of the data shared and the safeguards in place to protect their information.

6.3d Communicating Relevant Information and Promotional Content: With your consent, we communicate essential information, updates, promotional content, and notifications related to the Virtual Event and other offerings, ensuring you stay informed and derive maximum value

6.3e Improving User Experience and Site Security: Analyzing your interactions and feedback helps us improve our user experience, security features, and the overall quality of our services, fostering a secure and user-friendly environment.

6.3f Complying with Legal Requirements and Protecting Vital Interests: We process your Personal Data to comply with applicable legal and regulatory obligations, respond to lawful requests, and protect the vital interests of participants and stakeholders.

6.3g Analytics and Enhancement: Your data aids in the continuous analysis and enhancement of our services, enabling us to identify trends, improve content delivery, and tailor our offerings to suit your needs better.

6.13 Integration and Testing: We conduct rigorous testing and ensure correct integration of our website form, Stripe, and Pipedrive CRM to safeguard your data and enhance your user experience. Any updates or modifications undergo thorough testing to maintain the integrity of our systems.

7. Intellectual Property Rights

7.1 Ownership and Usage: All intellectual property rights related to the Virtual Event, including but not limited to content, materials, branding, and participant-generated content, are owned by FD, event sponsors, or presenters unless otherwise specified. Unauthorized use, reproduction, or distribution of these materials is strictly prohibited.

7.2 Property Rights: This Agreement does not confer any rights, title, or interest in any intellectual property owned or licensed by FD or its affiliates to the participants.

7.3 User-Generated Content: Participants retain rights to the content they generate during the Virtual Event but grant FD a non-exclusive, irrevocable, worldwide, and royalty-free license to use, reproduce, display, distribute, and perform such content for promotional, marketing, and any other lawful purposes.

8. Disclaimer & Limitation of Liability

8.1 No Warranties: FD provides the Virtual Event on an “as-is” basis without express or implied warranties. The views, opinions, and positions expressed by speakers, attendees, or sponsors are their own and do not necessarily reflect those of FD or its affiliates.

8.2 Liability Limitation: FD and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary losses or damages arising from the Virtual Event or this Agreement, except as required by law. The maximum aggregate liability of FD to any participant shall be limited to the amount paid by the participant to FD under this Agreement.

8.3 Third-Party Platforms: FD is not responsible or liable for any issues, losses, or damages arising from the third-party platform hosting the event. Participants acknowledge that they are subject to the platform’s terms of service and privacy policy and that FD has no control over such third-party terms.

9. Miscellaneous Provisions

Amendments will be communicated via email or through announcements on our website.

9.1 Non-Waiver: The failure of FD to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of FD.

9.2 Force Majeure: FD shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

9.3 Severability: If any provision of this Agreement is deemed unlawful, void, or unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

9.4 Assignment: You may not assign, delegate, or otherwise transfer your rights or obligations under this Agreement without the prior written consent of FD. FD may assign this Agreement without restriction. Any unauthorized assignment and delegation by you are void.

9.5 Attorneys’ Fees: In the event of any litigation or legal proceedings arising out of or related to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, and necessary disbursements, in addition to any other relief to which such party may be entitled.

9.6 Entire Agreement: This Agreement, together with any other legal notices published by FD on the website or communicated to you, constitutes the entire agreement between you and FD concerning the subject matter hereof, superseding all prior agreements and understandings (both written and oral).

9.7 No Agency: No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is intended or created by this Agreement. You acknowledge that you do not have any authority to bind FD in any respect whatsoever.

9.8 Amendment and Modification: FD reserves the right to amend this Agreement at its discretion. Amendments will be communicated via email or announcements on our website and will be effective when published. Your continued participation in the Virtual Event following the posting of any amendments will constitute your acceptance of such amendments.

9.9 Notification of Changes: Participants will be notified of any amendments to the T&Cs via email. Continued participation in the Virtual Event constitutes acceptance of the amended terms. It is your responsibility to review this Agreement periodically for changes.

10. Compliance with Laws

10.1 Compliance Obligation: Participants are obligated to comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations in connection with their access to and use of the Virtual Event services, including any interaction or communication therein.

11. Governing Law & Jurisdiction

11.1 Applicable Law: This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed by Pinellas County, Florida laws, without regard to its conflict of law principles.

11.2 Jurisdiction: Any disputes arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the state and federal courts located within Pinellas County, Florida.

12. Dispute Resolution

12.1 Resolution of Disputes: The parties shall attempt in good faith to resolve any dispute or claim arising out of or about this Agreement through negotiations between a director of each party with the authority to settle the relevant dispute. Suppose the dispute cannot be settled amicably within thirty (30) days from the date it arose. In that case, either party may seek resolution through mediation or arbitration, as specified by FD, before pursuing litigation.

12.2 Mediation/Arbitration: Any disputes arising will be resolved initially through mediation. If mediation is unsuccessful, the dispute shall be referred to and finally resolved by arbitration under the rules of the American Arbitration Association, which rules are deemed to be incorporated by reference into this section.

14.2 Accommodation Requests: Participants requiring specific accommodations are kindly requested to contact FD at jennifer.james@freshdemandco.com at least two weeks before the event. This advance notice enables us to work diligently to meet your needs and ensure an inclusive experience. We will engage in a dialogue with you to understand your requirements and make every effort to provide appropriate accommodations.

Please include details of the accommodation needed and any relevant documentation to support the request. FD will review the request promptly and contact you to discuss any available accommodations and next steps.

15. User Content & Interaction

15.1 User-Generated Content: Participants are solely responsible for any content they generate during the Virtual Event, including, but not limited to, comments, discussions, images, and videos. FD does not endorse or assume liability for participants’ content and reserves the right to remove content that violates our guidelines or applicable laws.

15.2 Interaction Guidelines: Participants must maintain a respectful, constructive, and inclusive environment during interactions. Harassment, discrimination, offensive language, or inappropriate behavior will not be tolerated. Violations may lead to immediate removal from the event and potential bans from future events.

15.3 Reporting Mechanism: If participants encounter inappropriate behavior or content, they are encouraged to report it immediately to jennifer.james@freshdemandco.com. FD will investigate and take appropriate action in response to violations of our community guidelines.

16. Feedback & Suggestions

16.1 Encouragement of Feedback: FD values the insights and opinions of participants and welcomes constructive feedback, suggestions, and comments to improve the Virtual Event experience continuously.

16.2 Use of Feedback: Any feedback provided by participants may be used by FD to enhance and optimize the Virtual Event services without any obligation to compensate the participants.

16.3 Feedback Ownership: While participants retain the rights to the original ideas contained in their feedback, FD holds the right to use any suggestions, ideas, or feedback submitted by participants to enhance its services without obligation of attribution or compensation.

17. Termination

17.1 Rights of Termination: FD reserves the right to terminate or suspend any participant’s access to the Virtual Event for violations of this Agreement or disruptive behavior, with or without prior notice, at its sole discretion.

18. Survival

18.1 Enduring Provisions: Due to their nature, specific provisions of this Agreement will continue to apply in full force after the termination of this Agreement. These include, but are not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

19. Technical Requirements & Support

19.1 Requirements: Participants are responsible for ensuring their equipment meets the technical requirements outlined in our communications for optimal event experience.

19.2 Support: Technical support is available at jennifer.james@freshdemandco.com.

19.3 Technical Issues: While FD will make every effort to support issues within its control, it shall not be liable for technical issues arising from third-party services, participant’s internet connection, or other issues beyond its reasonable control.

20. Recordings & Replays

20.1 Availability: Recordings of the Live Virtual Event will only be available to participants if specified and subject to presenter permissions and copyright laws. The unauthorized distribution or reproduction of event recordings is strictly prohibited.

20.2 Usage of Recordings: FD reserves the right to use event recordings for promotional, educational, or other purposes. Participants featured in the recordings can request removal or modification of specific content by contacting jennifer.james@freshdemandco.com. Requests will be evaluated case-by-case, considering legal and ethical obligations.

21. External Content

21.1 Disclaimer: FD does not endorse and is not responsible for the content, accuracy, privacy policies, or practices of any external sources, websites, or services featured or linked during the Live Virtual Event. Participants are encouraged to review the privacy policies and terms of use of any third-party sites or services accessed through the event.

21.2 Third-Party Links: Participants acknowledge that FD has no control over the content, privacy practices, or security of third-party links featured during the event. Accessing and using such links is at the participant’s own risk.

22. Accommodations and Special Requests

22.1 Requests: Participants requiring specific accommodations or with special requests should contact FD at jennifer.james@freshdemandco.com at least two weeks before the event to facilitate appropriate arrangements.

23. Indemnification

23.1 Indemnity: Participants agree to indemnify, defend, and hold harmless FD, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of the T&Cs or any activity related to their participation in the event.

23.2 Indemnification Procedure: If a claim requires indemnification under this Agreement, the participant shall promptly notify FD in writing. FD reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the participant, and in such case, the participant agrees to cooperate with FD’s defense of such claim.

Additional Information

Code of Conduct: Participants are expected to behave respectfully and inclusively. Non-compliance may result in immediate removal from the event.
